These Terms & Conditions ("Terms") govern your use of the website wszdigital.com and the digital marketing, technology, and creative services ("Services") provided by WSZ Digital Marketing Private Limited (CIN: U62090DL2025PTC445770), a company incorporated under the Companies Act, 2013, with its registered office at Khasra No. 401, Second Floor, Right Side, Ghitorni, New Delhi - 110030, India ("WSZ Digital", "we", "us", or "our").

By accessing our website, engaging our Services, or signing a proposal, statement of work, or service agreement with us, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

WSZ Digital provides digital marketing and technology services, including but not limited to Search Engine Optimization (SEO), Google Ads and Meta Ads management, AI chatbot development, app development, and web design.

• The specific scope, deliverables, timelines, and fees for each engagement will be set out in a separate proposal, quotation, or statement of work ("SOW"), which forms part of these Terms.
• Digital marketing performance (e.g., search rankings, ad performance, lead volume, conversions) depends on factors outside our control, including platform algorithm changes, market conditions, and competitor activity. We do not guarantee specific rankings, traffic, leads, sales, or revenue outcomes.
• Timelines provided are estimates and may be affected by delays in Client feedback, approvals, content, or access to required accounts and systems.

• Fees, billing cycle (e.g., monthly retainer or project-based), and payment schedule will be specified in the applicable proposal or SOW.
• Unless otherwise agreed in writing, invoices are due within 15 days of the invoice date. Late payments may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
• All fees are exclusive of applicable taxes (including GST), which will be charged additionally as required by Indian law.
• Third-party costs such as advertising spend (Google Ads, Meta Ads), software licenses, or paid tools are billed separately from our service fees and are payable in advance unless agreed otherwise.
• Fees already paid for work performed are non-refundable. We may suspend or terminate Services for accounts with overdue payments.

Each party may share confidential business information with the other in the course of the engagement ("Confidential Information"). Each party agrees to:

• use the other party's Confidential Information solely for the purpose of performing or receiving the Services;
• protect it with the same degree of care used to protect its own confidential information, and no less than reasonable care; and
• not disclose it to third parties without prior written consent, except to employees, contractors, or advisors bound by similar confidentiality obligations, or as required by law.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that was already lawfully known to the receiving party.

• Client IP.All trademarks, logos, content, and materials provided by the Client remain the Client's property.
• Deliverables. Upon full payment of all applicable fees, ownership of final deliverables created specifically for the Client (e.g., ad creatives, website designs, chatbot flows) transfers to the Client, except for any third-party or open-source components, which remain subject to their own licenses.
• Our methods & tools. WSZ Digital retains ownership of its pre-existing tools, frameworks, templates, methodologies, and general know-how used to deliver the Services, whether or not incorporated into deliverables, and may reuse them for other clients.
• Any software, platforms, or licensed tools used to deliver the Services remain the property of their respective owners.

• Provide timely feedback, approvals, brand assets, and access to required accounts (e.g., website, ad accounts, analytics).
• Ensure that content, assets, and instructions provided to us do not infringe any third party's intellectual property or other rights, and comply with applicable law.
• Delays caused by the Client in providing access, approvals, or materials may affect project timelines and are not attributable to WSZ Digital.

To the maximum extent permitted by law, WSZ Digital's total liability arising out of or relating to the Services shall not exceed the total fees paid by the Client to WSZ Digital in the three (3) months preceding the event giving rise to the claim.

In no event shall WSZ Digital be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. WSZ Digital does not guarantee uninterrupted or error-free Services, and is not responsible for outcomes affected by third-party platforms (e.g., Google, Meta) outside our control.

Either party may terminate an engagement by providing 30 days' prior written notice, unless a different notice period is specified in the applicable SOW. Fees for Services rendered and costs incurred up to the effective date of termination remain payable. Sections relating to Payment, Confidentiality, Intellectual Property, and Limitation of Liability survive termination.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.

We may update these Terms from time to time to reflect changes in our Services or legal requirements. The updated version will be posted on this page with a revised "Last updated" date. Continued use of our website or Services after changes take effect constitutes acceptance of the revised Terms.
